Save Nebraska Local LLC Affiliate Program Agreement

This Agreement governs participation in the Save Nebraska Local LLC Affiliate Program. In the event of any conflict between marketing summaries and this Agreement, this Agreement controls.

Preamble

This Affiliate Program Agreement ("Agreement") is entered into between Save Nebraska Local LLC ("Company", "we", "our", or "us"), a Nebraska limited liability company, and the individual or business entity applying or approved to participate as an affiliate ("Affiliate" or "you").

By submitting an application or participating in the Affiliate Program, you agree to be bound by all terms and conditions set forth herein.

1. Application and Eligibility

Submission of an Affiliate Application does not guarantee acceptance. Save Nebraska Local LLC reserves the sole, unilateral right to evaluate and accept or reject any applicant for any lawful reason. Acceptance is effective only upon explicit written notice from Company ownership.

Affiliates must be at least 18 years of age and legally authorized to conduct commercial promotional activities in the United States.

2. Commission Structure & Tiers

2.1 First Five Qualified Customers (15% Recurring): The Affiliate earns a 15% recurring monthly commission on eligible commissionable revenue actually collected by Company from each of their first five (5) qualified referred paying customers. The first five customer positions permanently remain at the 15% commission rate.

2.2 Customer #6 and Beyond (20% Recurring): Commencing with the Affiliate's sixth (6th) qualified referred customer, the Affiliate earns a 20% recurring monthly commission on eligible commissionable revenue actually collected from that customer and each subsequent qualified referred customer. There is no periodic reset to zero. The initial five customers remain at 15%.

2.3 Duration of Recurring Commissions: Commissions continue to accrue only for as long as: (a) the referred customer maintains an active, paid subscription in good standing; (b) Company actually collects eligible subscription revenue; (c) the Affiliate remains approved and in full compliance with this Agreement; and (d) this Agreement has not been terminated.

2.4 Cancellation and Re-activation: If one of an Affiliate's first five customers cancels service and later reactivates or returns, that customer retains their original designated customer number (remaining at 15%) and does not count as a new or additional sale.

3. $5 Qualified Meeting Bonus

3.1 Earning Criteria: Company may pay an Affiliate a one-time $5.00 Qualified Meeting Bonus when all of the following conditions are satisfied:

  • The Affiliate introduces a prospective Nebraska business owner not previously in active discussions with Company.
  • The prospect books an introductory meeting on Company's calendar.
  • The prospect actually attends and completes the scheduled meeting.
  • Company conducts an evaluation and awards the prospect an internal qualification score of at least 5 out of 10 under Company's standard sales criteria.

3.2 Exclusions: No bonus shall be owed or paid for cancellations, no-shows, duplicate leads, existing clients, fake referrals, or prospects scoring below 5 out of 10.

3.3 Purchase Offset: If a Qualified Meeting Bonus has already been paid and the prospect subsequently purchases a plan, the $5.00 meeting bonus previously disbursed will be credited against the Affiliate's first sales commission payout for that customer.

4. Commissionable Revenue & Offsets

Commissions are calculated strictly on eligible subscription revenue collected by Company. Commissionable revenue expressly excludes: setup fees, onboarding charges, taxes, merchant processing fees, promotional credits, discounts, waived amounts, refunds, and bank chargebacks.

In the event of a customer refund, dispute, chargeback, or non-payment, the corresponding commission is void. Any commission already disbursed to Affiliate on a voided transaction may be deducted or offset by Company against subsequent payout disbursements.

5. Referral Attribution

A documented qualifying referral remains eligible for sales attribution for up to one hundred eighty (180) days from initial introduction. In the event multiple Affiliates introduce the same prospective business, Company attributes the sale to the most recent qualifying Affiliate referral contact prior to purchase. Company business records and CRM data shall be conclusive.

6. Self-Referral Policy

Affiliates may not earn commissions on accounts owned, operated, or controlled by themselves. Approved Affiliates in good standing may, however, request an independent partner discount on Company services for their own business, which must be approved in writing by Company ownership.

7. Payout Schedule & Payment Methods

Commissions and eligible meeting bonuses are calculated following the conclusion of each calendar month. Validated payments are disbursed no later than seven (7) business days after month-end via PayPal or Venmo. Affiliates are solely responsible for all tax obligations and 1099 filings related to compensation received.

8. Promotional Conduct & FTC Compliance

Affiliates agree to comply with all applicable laws, including FTC Endorsement Guides (16 C.F.R. Part 255) and the CAN-SPAM Act. Affiliates must clearly and conspicuously disclose their financial relationship with Company whenever promoting Company offerings.

Prohibited actions include: spamming, misleading claims, unauthorized price modifications, pretending to be an employee or officer of Company, bid poaching on Company trademarks via paid advertising, and manipulating attribution links. Violation results in immediate termination and forfeiture of unpaid commissions.

9. Term and Termination

Either party may terminate this Agreement at any time, with or without cause, upon written notice. Upon termination, all rights to receive future recurring commissions cease immediately, except that undisputed commissions earned on eligible revenue collected prior to effective termination shall be paid in the normal payout cycle, unless termination resulted from Affiliate misconduct or breach.

10. Governing Law & Jurisdiction

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Nebraska, without regard to conflict of law principles. Any legal suit, action, or proceeding arising out of or related to this Agreement shall be instituted exclusively in the state or federal courts located in Nebraska.
